Terms of Use

Blue Sky Marketing Group and all related and affiliated companies (“Blue Sky Marketing,” “we,” “us,” and “our”) provides this website and all related websites (the “Sites”) and offer all promotions, contests, offers to sell or license (or otherwise make available) products, services, and content through the Sites (collectively, “Services”) (collectively, the “Platform”) subject to your agreement to these Terms of Use (the “Terms”), which are final.

By using the Sites in any way, you agree to these Terms. If you do not agree to these Terms, do not use the Sites.  These Terms apply to all users of the Sites, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

In connection of the purchase of goods and services from us, you may be required to enter separate, written agreements with Blue Sky Marketing (each a “Client Agreement”).  In the event of a conflict between any Client Agreement and these Terms, the terms of the Client Agreement shall control.

We reserve the right to update, change, or replace any part of these Terms by posting those changes on this web page. Your continued use of the Sites following the posting of any updates or changes to these Terms constitutes an acceptance of those changes by you.

 

SECTION 1 – SCOPE OF AGREEMENT

The Terms govern all your actions on and interactions with the Sites.

 

SECTION 2 – PRIVACY AND SECURITY

In agreeing to these Terms, you also agree to our Privacy Policy, which is incorporated into these Terms by reference.

Please note our Sites may cause information about you, your location, and your activities on the Sites to be transmitted by your web browsing software or otherwise to third parties acting for or on our behalf, including to third parties who provide advertising, marketing, and analytics services to us. By agreeing to the Terms, you consent to these communications.

 

SECTION 3 – WEBSITE ERRORS AND OMISSIONS.

We cannot guarantee that the Sites (and associated servers), and their content, are error-free.  You understand that errors and omissions may occur on the Sites despite our best efforts to provide accurate information.  To the extent errors occur, they will be corrected as soon as practicable by us.  You agree that all errors and omissions on the Sites are not binding on you or us, and you agree to our right to correct such errors at any time without liability to you.

 

SECTION 4 – SITES PROVIDED ON “AS IS” AND “AS AVAILABLE” BASIS

The Sites are provided by us on an “as is” and “as available” basis, without any representation, warranties or conditions of any kind, either express or implied, including any implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, or non-infringement as to the content or availability of the Sites.  You expressly agree that your use of, or inability to use, the website is at your sole risk.

 

SECTION 5 – DISCLAIMER OF LIABILITY

In no case shall Blue Sky Marketing, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from or related to your use of the Sites, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Sites or any content posted, transmitted, or otherwise made available via the Sites, even if advised of their possibility.  Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the fullest extent allowed by law.

 

SECTION 6 – NO PROFESSIONAL OR ADVISORY SERVICES

Marketing information on the Sites is provided for informational purposes only and not as professional advice.  You agree that use or reliance on such information shall be at your own risk and without liability to us.

 

SECTION 7 – INTELLECTUAL PROPERTY

You should assume that everything you see or read on the Sites is proprietary information protected by copyright or trademark unless otherwise noted and may not be used except as provided in the Terms or with our written permission.  For avoidance of doubt, all material included on and underlying the Sites, including all code, text, graphics, logos, images, photographs, audio clips, digital downloads, data compilations, and software, including, without limitation, the selection, compilations, sequence and “look and feel” and arrangement of items and content (the “Content”), is the exclusive property of Blue Sky Marketing and/or third-party licensors and is protected by United States and international copyright, trademark, or other intellectual property laws.  Modification or use of the Content, except as expressly provided in the Terms, violates our intellectual property rights. Nothing posted on the Sites grants a license to any of our intellectual property, whether by implication, estoppel, or otherwise.  Any rights not expressly granted herein are reserved.

 

SECTION 8 – PROHIBITED USES

Users of the Sites must not:

  1. Monitor, gather, copy or use for any purpose related to the development of any kind of artificial intelligence (including large language models) any Content, including by using any robot, “bot,” spider, crawler, spyware, engine, device, software, extraction tool, or any other automatic device, utility, or manual process of any kind. Users do not have any license, implied or otherwise, to train AI systems, including large language models, using in any way the Platform and any of Sites’ content or code.
  2. Frame or utilize framing techniques to enclose any trademark or other Content (including, without limitation, any images, text or page layout).
  3. Engage in any activities through or in connection with the Sites that seek to attempt to harm minors or are unlawful, offensive, obscene, threatening, harassing, abusive or that violate any right of any third party.
  4. Attempt to circumvent the security systems of the Sites.
  5. Attempt to gain unauthorized access to the Sites or Services, materials, other accounts, computer systems, or networks connected to any servers owned or used by us.
  6. Attempt to use the Sites for any purposes other than those intended by us, as determined by us in our sole discretion.
  7. Upload or submit any data or information that contains viruses or any other computer code, corrupt files or programs designed to interrupt, destroy or limit the functionality or disrupt any software, hardware, telecommunications, networks, servers, or other equipment.
  8. Engage in any activity that interferes with any user’s access to the Sitesor the proper operation of the Sites.
  9. Upload, post, e-mail, transmit, distribute, or publish on the Sites any message, information, text or other material that may be considered to be unlawful, harmful, libelous, tortious, defamatory, obscene, vulgar, pornographic, indecent, lewd, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, hateful, or racially, ethnically or otherwise objectionable (“Objectionable Material”).
  10. Upload or transmit any Objectionable Material that would constitute or encourage a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national, or international law, including, without limitation, the regulations of the U.S. Securities and Exchange Commission, any rules of any securities exchange such as the New York Stock Exchange, the American Stock Exchange, or the NASDAQ.
  11. Upload, e-mail, transmit, or otherwise make available any Objectionable Material that might infringe any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any party.
  12. Impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity or otherwise use the Sites or request or obtain Services on behalf of any other person without lawful authorization to do so.
  13. Without our written permission, distribute, publish, or make available any unsolicited or unauthorized promotions, advertising, or solicitations for goods or services offered by us.

You agree to indemnify, defend and hold harmless, harmless from any claim or demand, including reasonable attorney’s fees, made by any third party due based on your engagement in any of the foregoing prohibited uses.

 

SECTION 9 – RIGHT TO TERMINATE ACCESS TO AND USE OF SITES

You agree that we have the right to terminate this agreement and your access to and use of the Sites at any time and for any reason at our sole discretion and without liability.  All provisions of these Terms shall survive such termination.

 

SECTION 10 – OPTIONAL TOOLS AND NEW FEATURES

We may provide you with access to third-party tools, including those which we neither monitor nor have any control or input.  You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations, or conditions of any kind and without any endorsement.  We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.  Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).  We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms.

 

SECTION 11 – USER COMMENTS, FEEDBACK, AND OTHER SUBMISSIONS

If you by request submit information or materials to us or send to us without request or post on the Sites any comments, creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, “Submissions”), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium and in any manner whatsoever all Submissions.  We are and shall be under no obligation (1) to maintain any Submissions in confidence; (2) to pay compensation to you or anyone else for any Submissions; or (3) to respond to any Submissions.

To this end, you understand that content sent to us or posted on the Sites, including all Submissions, is non-confidential for all purposes.  If you do post content or submit material to us, and unless we indicate otherwise, you grant us a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant us and our sublicensees the right to use the name that you submit in connection with such content. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate our Terms and will not cause injury to any person or entity; and that you will indemnify us for all claims resulting from content you supply.

We make no claims or promises about the quality, accuracy, or reliability of any recommendations, reviews, comments, or other content posted by third parties on our Website.  We are not liable for any loss or damage that might arise from your reliance on any recommendation, review or comments on the Sites.

Submissions and posts to the Sites shall not:

  1. Violate any law or regulation
  2. Violate or infringe the rights of others, including intellectual property, privacy, and publicity rights
  3. Transmit or include anything that is illegal, abusive, harassing, harmful to reputation, pornographic, indecent, profane, obscene, hateful, racist, or otherwise objectionable
  4. Include unsolicited or unauthorized advertising or commercial communications, such as spam
  5. Transmit any malicious or unsolicited software
  6. Stalk, harass, defame, or harm another individual
  7. Impersonate or misrepresent your affiliation with any business or individual or use a false or fictitious email name or email address
  8. Interfere with or disrupt the operation of the Sites

We may, but have no obligation to, monitor, edit or remove online content from you that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms.

You are solely responsible for any Submissions you make and online content you post and their accuracy.  We take no responsibility and assume no liability for any Submissions sent to us or any online content posted by you or any third-party.

 

SECTION 12 – ADDITIONAL TERMS

Third-Party Links. The Sites may contain links to third-party websites that are not under our control. We make no claim and accepts no responsibility regarding the quality, nature, or reliability of those websites. We provide such links to you as a convenience and the inclusion of any link does not imply endorsement by us or any association with the operators of such websites. You are responsible for viewing and abiding by the privacy statements and terms of use posted at any third-party sites.

No Endorsement.  Reference to any third-party products, services, processes, or other information, by trade name, trademark, manufacturer, supplier, or otherwise, does not constitute or imply endorsement, sponsorship, or any recommendation by us.

Modifications to the Sites.  You agree that we have the right to change any aspect of the Sites, or discontinue them in part or entirely, without liability and without notice to you.

Changes to the Terms.  You agree that we can provide notice to you of any changes to the Terms by posting the updated Terms on the Sites, changing the Effective Date set forth in the Terms, and, at our sole discretion, notifying you by such other means as we may deem appropriate.  Changes to the Terms will become effective on the date they are posted to the Sites.  By continuing to use the Sites after the effective date of the changed Terms, you agree to be bound by those changes.

Right to Monitor and Revoke Rights.   We have the right to monitor use of the Sites including to determine compliance with the Terms and revoke your rights to access and use the Sites without liability if we, in our sole discretion, determine that you have violated the Terms.

Governing Law.  These Terms of Use shall be governed by and construed in accordance with the laws of Illinois, excluding its conflict of laws provisions.

Severability.  If any provision of these Terms is determined to be illegal or unenforceable, it shall be severed from the Terms, and the balance of the Terms shall continue to be fully valid, binding, and enforceable.
